The general terms and conditions of sale (GTC) B to B, defined in Article L.441-6 of the Commercial Code, constitute the sole basis for commercial negotiation.

They must be communicated to any professional buyer before a date defined by law in the annual cycle of commercial negotiations.

Beyond this formality, they express your commercial policy and participate in the efficient control of margins and supplier responsibility.

As such, it is essential that any supplier is equipped with it.

Indeed, under the terms of Article L.441-6 paragraph 1 of the Commercial Code, “any producer, service provider, wholesaler or importer is required to communicate its general terms and conditions of sale to any purchaser of products or any requester for services who requests it for a professional activity. These constitute the basis for commercial negotiation. They include:

  •  the conditions of sale,
  •  the schedule of unit prices,
  •  price reductions;
  •  the terms of payment ”.

The general terms and conditions of sale are a way to clarify the company’s relations with its customers, and therefore to limit any disputes over the sales it concludes. At the legal level, they specify the legal regime of the sale, defined by the Civil Code. They introduce possible derogations from this regime or add to the legal provisions.

In this context, their objective is to protect your position as a seller as much as possible, to promote the collection of the price, to limit your warranty obligations and your liability.

The general terms and conditions of sale will formalize the process of selling your products by specifying in particular:

  • the conditions for taking orders;
  • the conditions of execution of the service;
  • invoicing

  • conditions;
  • the terms of payment;
  • the guarantees applicable to the customer relationship;
  • limitations of liability.

As such, the general terms and conditions of sale express your company’s commercial policy towards professionals and must take into account your requirements. Far from constituting a vague standard contract, the general terms and conditions of sale can and must be adapted to your company, to reflect the relationships you want to maintain with your professional customers.
